This is a fixed-term contract/secondment opportunity commencing by February 2019 and with an expected end date of January 2020.

Duties & Responsibilities

The Company Secretariat provides company secretarial services to the Partnership Board and its Committees, the Executive Team, the Divisional Management Boards and their Risk Committees and the Partnership's charitable Foundations.The Company Secretariat is also responsible for maintaining the Partnership's corporate governance framework.

We are looking for an experienced chartered secretary to join the Secretariat team to provide support in a unique corporate environment. The role has a broad remit and requires the successful applicant to support client areas with both the law and commercial requirements in mind.

Job Requirements

- Relationship management for allocated business areas

- Provide support, as necessary, in the administration of the Partnership's charitable bodies, including attending and writing meeting minutes

- Oversee and provide through a third party company secretarial support to the two Channel Island entities, Waitrose (Jersey) Limited and Waitrose (Guernsey) Limited and acting as a co-ordinator.

- Organise Annual General Meetings for subsidiary companies and approval of subsidiary company accounts

- Share Registers - to deal with queries and requests from former preference shareholders; payments for shares and dividends and maintain proper records.

- Oversee the Company Secretariat Assistant in the maintenance of the required statutory registers, and the timely filing of Returns at Companies House; ensure compliance with the Companies Act 2006 of all statutory documentation and timely approval and filing of Company's annual reports and accounts

- Support the Acting Company Secretary in the maintenance and development of the Partnership's compliance framework

- Update the Partnership Constitution

- Co-ordinate the development and maintenance of Secretariat checklists to document processes


Required essential experience skills and qualifications

- Chartered Secretary (Fellow or Associate)
- Experience working in a similar role within a listed company
- Ability to support client areas whilst considering both legal and commercial requirements
- Excellent communication skills with strong attention to detail
- Ability to work as part of a team with strong focus on continuous improvement and self development

Required desirable experience skills and qualifications

- Law degree
- Pensions, Charities and/or Retail experience
